These terms govern use of the OSENC website. They do not by themselves create a sales contract, warranty, exclusive supply obligation, engineering approval, or guarantee of product suitability. Each order is governed by the documents expressly accepted for that transaction.

Information Is General Until Confirmed
Product descriptions, guides, drawings, illustrations, examples, estimated lead times, magnetic values, capacity discussions, and application suggestions are general information unless incorporated into an accepted quotation, approved drawing, specification, quality agreement, or sales contract. OSENC may correct or update website content.

RFQs and Quotations
Submitting an inquiry does not require either party to proceed. A quotation is based on the information supplied and remains subject to its stated validity, scope, exclusions, price, quantity, payment, delivery, inspection, and drawing requirements. Changes to material, dimensions, quantity, destination, standards, test method, or schedule may require a revised quotation.
Contract Documents and Priority
The final contract should identify the priority of the signed agreement, quotation, purchase-order acceptance, approved drawing, specification, quality agreement, and referenced standards. Conflicting buyer terms do not automatically apply merely because they appear on a purchase order or portal; conflicts must be resolved in writing.
Custom Products
Custom magnets, assemblies, and equipment are manufactured for an approved drawing or application. They are generally not suitable for return for convenience. Cancellation, tooling, work in progress, excess material, and change costs must be defined in the accepted commercial documents. Verified manufacturing defects should follow the published quality-claim process and contract remedies.
Customer Responsibilities
- Provide accurate application, drawing, quantity, environment, safety, compliance, and acceptance information.
- Review and approve drawings, revisions, samples, and specifications.
- Confirm that customer-supplied designs do not infringe third-party rights.
- Install, operate, guard, clean, and maintain products under approved documents and site requirements.
- Obtain local approvals, import permissions, and suitability review not expressly included in OSENC’s scope.
Intellectual Property and Website Use
OSENC website text, graphics, photographs, layout, and original technical materials may not be copied, republished, or used to misrepresent another supplier without permission. Customer ownership of its pre-existing drawings remains subject to the project agreement; OSENC tooling, manufacturing methods, know-how, and independently developed materials require separate written treatment.
Third-Party Links and Documents
Third-party sites, standards, carrier rules, certificates, and reports remain subject to their issuers. A link or reference does not mean OSENC controls or endorses every third-party statement.
Liability and Applicable Law
Any exclusions, liability limits, indemnities, governing law, CISG treatment, arbitration, court jurisdiction, and time limits must be stated in the final accepted contract and reviewed for enforceability. Nothing in these Terms excludes rights or liability that applicable law does not permit parties to exclude.
